Terms of Service

Please read these Terms carefully before engaging Alapan's services or using our website. By proceeding, you agree to be bound by these Terms.

1. Overview

These Terms of Service ("Terms") govern the use of Alapan's website (alapan.dev) and the services we provide as a web engineering studio. By engaging our services or using our website, you agree to these Terms. Alapan is operated by Alapan, registered in Hyderabad, Telangana, India. References to "we", "us", or "our" refer to Alapan. References to "you" or "client" refer to the individual or organisation engaging our services.

2. Services

Alapan provides custom web engineering services including, but not limited to: - Design and development of agentic websites built on the Tej Framework - Custom AI agent development and automation - MCP server development and integrations - Internal AI tooling and copilots The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate project proposal or statement of work agreed between the parties.

3. Project engagement

A project engagement begins when both parties have agreed to a proposal in writing (including via email). We require a deposit before work commences; the amount and schedule will be specified in the proposal. We will make reasonable efforts to meet agreed timelines. Delays caused by factors outside our control (including late feedback, scope changes requested by the client, or third-party dependencies) may affect delivery dates and we will notify you promptly.

4. Client responsibilities

To enable us to deliver your project effectively, you agree to: - Provide timely feedback, approvals, and materials as reasonably requested - Ensure you have the rights to any content, assets, or data you provide to us - Designate a point of contact who can make project decisions - Not share confidential project details, unreleased deliverables, or proprietary documentation from Alapan with third parties without our consent

5. Intellectual property

Upon receipt of full payment for a project, you own the custom code, designs, and content created specifically for your project. You are free to use, modify, and deploy them as you see fit. Alapan retains ownership of its proprietary frameworks, tools, libraries, and processes (including the Tej Framework) which form the foundation of your project. A non-exclusive, perpetual licence to use these components within your delivered project is granted upon full payment. We may reference the existence of the project (but not its confidential details) in our portfolio unless you request otherwise in writing.

6. Payment

Our services are provided on a project-fee basis. Fees are quoted in the project proposal and do not include recurring software subscriptions or hosting costs unless explicitly stated. Invoices are due within the payment terms stated on the invoice (typically 7–14 days). Late payments may result in work being paused until outstanding amounts are settled. All fees are exclusive of applicable taxes (including GST where applicable in India).

7. Confidentiality

Both parties may receive confidential information belonging to the other in the course of a project. Each party agrees to: - Keep such information confidential - Use it only for the purposes of the project - Not disclose it to third parties without prior written consent This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Warranties and disclaimers

We warrant that the services will be performed with reasonable skill and care, and that deliverables will substantially conform to the agreed specification at the time of delivery. We do not warrant that our website or deliverables will be free of all errors or uninterrupted. To the maximum extent permitted by law, we disclaim all implied warranties not expressly stated in these Terms.

9. Limitation of liability

To the maximum extent permitted by applicable law, Alapan's total liability to you arising out of or in connection with these Terms or any project shall not exceed the total fees paid by you to Alapan in the three months preceding the claim. In no event will we be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

10. Termination

Either party may terminate a project engagement with 14 days written notice. On termination: - You will pay for all work completed up to the date of termination - We will provide you with all completed and in-progress deliverables at the time of termination - Any confidentiality obligations survive termination We reserve the right to terminate immediately if you breach these Terms and fail to remedy the breach within 7 days of written notice.

11. Governing law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India. If you are located outside India, you acknowledge that you are engaging a service provider based in India and that Indian law governs our agreement.

12. Changes to these Terms

We may update these Terms from time to time. We will notify existing clients of material changes. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page indicates when the Terms were last revised.
